Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BumpInvoice, operated by Xenthos LLC, a Wyoming limited liability company (“we,” “us,” or “our”). By accessing or using BumpInvoice at bumpinvoice.com, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree, you may not use BumpInvoice.

1. Description of Service

BumpInvoice is a software-as-a-service (SaaS) application that helps freelancers and small businesses automate invoice payment reminders. The service connects to your payment processor (currently Stripe) via OAuth to read invoice and payment data, and sends automated reminder emails to your clients on your behalf.

BumpInvoice is a tool for sending reminders about legitimate, existing invoices. It is not a collections service and does not have authority to collect payments on your behalf.

2. Eligibility

You must be at least 18 years of age to use BumpInvoice. By using the service, you represent that:

—You are at least 18 years old
—You have the legal capacity to enter into a binding agreement
—You are using the service for lawful business purposes
—You have the right to authorize BumpInvoice to act on your behalf in sending communications to your clients

3. Account Registration

You must create an account to use BumpInvoice. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You may not share your account with others or create accounts on behalf of third parties without their consent.

4. Connecting Third-Party Services

BumpInvoice connects to Stripe and potentially other payment processors via OAuth. By connecting your payment processor account, you authorize BumpInvoice to access your invoice and payment data to provide the service. This authorization is governed by:

—Your agreement with the respective third-party service (e.g., Stripe's Terms of Service)
—The specific permissions you grant during the OAuth connection process

You may revoke this access at any time through your payment processor's settings or through your BumpInvoice account.

5. Acceptable Use

You agree to use BumpInvoice only for lawful purposes and in accordance with these Terms. You may not:

—Send reminders for fraudulent, fabricated, or disputed invoices
—Use the service to harass, threaten, or abuse your clients
—Violate any applicable laws, including anti-spam regulations (CAN-SPAM, GDPR, CASL)
—Attempt to gain unauthorized access to any systems or networks
—Reverse engineer, decompile, or disassemble any part of the service
—Resell or sublicense the service without written permission
—Use the service in any way that could damage, disable, or impair it

We reserve the right to suspend or terminate accounts that violate these provisions without notice.

6. Subscription and Payment

BumpInvoice offers subscription plans as described on the pricing page. Subscriptions are billed monthly or annually depending on your selected plan. Payments are processed securely by Stripe.

Refund policy: We offer a 14-day refund from the date of initial purchase or subscription renewal, upon request. To request a refund, contact us at support@bumpinvoice.com. Refunds will not be issued after the 14-day period, and we do not provide partial refunds for unused subscription periods.

We reserve the right to change subscription pricing with 30 days' advance notice to existing subscribers.

7. Intellectual Property

BumpInvoice and all related software, design, and content are owned by Xenthos LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the service for your internal business purposes during your subscription period.

You retain ownership of all data you import into or create within BumpInvoice, including your client data, invoices, and reminder content.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XENTHOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF BUMPINVOICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Xenthos LLC and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of BumpInvoice, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time through your account settings. We may suspend or terminate your access to BumpInvoice at our discretion, with or without notice, if we believe you have violated these Terms or if required by law.

Upon termination, your right to use the service will immediately cease. We will delete your data in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Cheyenne, Wyoming, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where required, by email at least 14 days before the changes take effect. Continued use of BumpInvoice after the effective date constitutes your acceptance of the revised Terms.
